Terms of Use for the looid Underground Network

Effective Date: 01.04.2025

1. Welcome to looid!

We're delighted to have you join the looid community. looid is an exclusive, non-commercial network created to facilitate direct and unfiltered exchange among like-minded individuals. We value open communication, respect, and the protection of our users' privacy. Please read these Terms of Use carefully, as they form the basis for your use of looid.

2. Acceptance of the Terms of Use

By registering, accessing, or using looid, you expressly agree to these Terms of Use. If you do not agree to these terms, you may not use looid. We reserve the right to change these Terms of Use at any time. We will inform you of any material changes. Your continued use of looid after such changes constitutes your acceptance of the revised terms.

Legal Explanation: This clause is standard and ensures that users are aware of and accept the applicable rules before using the service. The clause regarding the reservation of the right to make changes is also common but should be implemented transparently and fairly (e.g., notification of changes).

3. Registration and User Account

  • Majority and Legal Capacity: You confirm that you are of legal age and have full legal capacity to enter into this agreement.
  • Accuracy of Information: You are obligated to provide truthful and complete information during registration and to keep this information up to date.
  • Confidentiality of Access Data: You are responsible for maintaining the confidentiality of your access data (username and password) and bear full responsibility for all activities that occur under your account. Never share your access data with third parties.
  • One Account per Person: Generally, only one user account per person is permitted.
  • Deactivation and Deletion: We reserve the right to deactivate or delete user accounts without giving reasons, especially in the event of violations of these Terms of Use. You have the right to delete your account yourself at any time.

Legal Explanation: These clauses serve the security of the network and its users. The requirements for legal age and capacity are important for the legal validity of the agreement. The responsibility for access data lies with the user. The possibility of deactivating or deleting accounts is an important tool for enforcing the Terms of Use.

4. Use of looid – Your Rights and Obligations

  • Content and Conduct: You are responsible for all content (texts, images, videos, links, etc.) that you publish, share, or otherwise disseminate on looid. You undertake not to publish content that:
    • is illegal, offensive, defamatory, slanderous, hateful, racist, sexist, glorifies violence, pornographic, or otherwise objectionable.
    • infringes the rights of third parties, in particular copyrights, trademarks, personal rights, or data protection rights.
    • is false, misleading, or fraudulent.
    • contains or disseminates viruses, malware, or other harmful programs.
    • contains unsolicited advertising (spam) or other unsolicited messages.
  • Respectful Interaction: We expect all users to interact with each other respectfully and fairly. Harassment, threats, bullying, and other forms of inappropriate behavior are not permitted.
  • No Commercial Use: looid is a non-commercial network. The use for commercial purposes, such as advertising products or services, is prohibited without explicit permission.
  • Compliance with Laws: You are obligated to comply with all applicable laws and regulations when using looid.
  • Reporting Violations: If you discover content or behavior that violates these Terms of Use, please report it to us immediately.

Legal Explanation: These clauses define the limits of permissible use and serve to protect other users and the network itself. The emphasis on user responsibility for their content is legally relevant. The prohibitions of certain content categories are necessary to minimize legal risks and promote a positive community.

5. Rights to Content

  • Your Content: You retain all rights to the content you create and publish on looid.
  • License to looid: By publishing content on looid, you grant looid a non-exclusive, transferable, sub-licensable, royalty-free, worldwide license to use, host, store, reproduce, modify (e.g., for formatting), publicly display, and distribute your content to the extent necessary for the operation and development of looid. This license ends when you remove your content or delete your account, unless the content has already been shared by other users or cannot be completely removed immediately for technical reasons.
  • Rights of Other Users: The content of other users is protected by copyright. Any use of this content outside the functions provided by looid is prohibited without the consent of the respective rights holder.

Legal Explanation: These clauses regulate the rights to the content contributed by users. Granting a license to the operator is necessary to technically operate the service and display the content. Emphasizing the copyright of other users is important to prevent legal infringements.

6. Data Protection

The protection of your personal data is very important to us. Our Privacy Policy, which you can find here [Insert Link to Privacy Policy], explains in detail how we collect, use, and protect your data. Please read our Privacy Policy carefully.

Legal Explanation: A clear and detailed link to the Privacy Policy is essential to comply with the information obligations under applicable data protection laws (e.g., GDPR, Swiss Federal Act on Data Protection).

7. Disclaimer of Liability

  • Use at Your Own Risk: The use of looid is at your own risk. We assume no warranty for the availability, error-free operation, or security of looid.
  • No Liability for User Content: We assume no responsibility or liability for the content published by users on looid. We do not actively monitor the content but reserve the right to remove content without giving reasons.
  • Limitation of Liability: To the extent permitted by law, we exclude any liability for damages arising in connection with your use of looid, in particular for direct, indirect, incidental, special, or consequential damages.

Legal Explanation: These clauses serve to limit the operator's liability for risks typically associated with online platforms. The disclaimer of liability for user content is important because the operator cannot generally comprehensively control it. The limitation of liability should be permissible within the framework of applicable law.

8. Indemnification

You agree to indemnify and hold harmless looid, its operators, employees, and representatives from all claims, damages, losses, and costs (including reasonable attorneys' fees) arising from your use of looid, your content, or your violation of these Terms of Use.

Legal Explanation: This indemnification clause shifts the responsibility for certain legal disputes and costs to the user who caused the damage. It is particularly relevant in cases of violations of the Terms of Use or legal infringements by user content.

9. Intellectual Property of looid

All rights to looid, in particular copyrights, trademarks, and other intellectual property rights to the software, design, and content of looid (with the exception of user content), remain exclusively with us or our licensors. You are prohibited from using, reproducing, or modifying these rights without our express consent.

Legal Explanation: This clause protects the operator's intellectual property in the platform itself.

10. Termination of Use

You can terminate your use of looid at any time by deleting your account. We reserve the right to terminate or suspend your access to looid at any time without giving reasons and without prior notice, especially in the event of violations of these Terms of Use.

Legal Explanation: These clauses regulate the termination of the user relationship by both the user and the operator.

11. Governing Law and Jurisdiction

These Terms of Use are governed by [Swiss Law]. The exclusive place of jurisdiction for all disputes arising from or in connection with these Terms of Use is [Insert Place of Jurisdiction in Switzerland, e.g., Zurich].

Legal Explanation: The choice of governing law and jurisdiction is important for the resolution of legal disputes. Since the operator is located in Switzerland (according to your context information), the choice of Swiss law and a Swiss court of jurisdiction is sensible.

12. Severability Clause

Should individual provisions of these Terms of Use be or become invalid or unenforceable, this shall not affect the validity of the remaining provisions. In place of the invalid or unenforceable provision, a provision shall apply that comes closest to the economic purpose of the original provision.

Legal Explanation: This clause ensures that the remaining provisions of the Terms of Use remain valid even if individual parts should be invalid.
